Terms of Service

Effective date: July 8, 2026

These Terms of Service (“Terms”) govern your access to and use of Geotally (the “Service”), operated by BestDid, LLC (“BestDid”, “we”, “us”). By purchasing a license or accessing the Service, you agree to these Terms.

1. License grant

Subject to your continued compliance with these Terms and payment of applicable fees, BestDid grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription. Your license is keyed to the tier you purchase (Starter, Growth, or Agency) and to the seat/usage limits associated with that tier.

3. Subscription, billing, auto-renewal, and refunds

3.1 Plans and billing

Geotally is sold as a recurring monthly subscription. Plans and prices are published at geotally.ai/pricing. You subscribe directly in the app from the Billing page; the same plans are also available through our reseller checkout at getbdshield.com/product/bd-geo-tracker. The price at checkout is the price you pay until you cancel.

3.2 Auto-renewal

Your subscription automatically renews at the end of each billing period at the same price and cadence you originally selected, unless you cancel before the renewal date. We charge the payment method on file. If a charge fails we retry at 24 hours, 72 hours, and 7 days; if all retries fail your subscription is paused and the app moves to read-only.

3.3 How to cancel

You can cancel at any time. If you subscribed directly in the app, open the Billing page and click Manage subscription to cancel in the billing portal. If you bought through getbdshield.com with a license key, cancel from getbdshield.com/my-account/subscriptions. Either way, you can also email support@geotally.ai. Cancellation takes effect at the end of the current paid term. You keep access until then and are not charged again.

3.4 Refunds

We do not advertise a fixed money-back guarantee period. Refund requests are considered on a case-by-case basis and granted at our discretion. To request a refund, follow the process set out in our Refund Policy. Cancelling your subscription stops future renewals, and you retain access until the end of your current paid term; cancellation alone does not entitle you to a refund of fees already paid. Nothing in this section limits any statutory right of withdrawal or cancellation available to consumers in the EU, the UK, or other jurisdictions, and those rights apply regardless of this clause.

3.5 Taxes

Prices are exclusive of taxes. We or our reseller may add VAT, GST, or sales tax at checkout where required.

4. Termination

We may suspend or terminate your license if you breach these Terms, engage in fraudulent activity, or attempt to bypass the limits of your tier. You may terminate your account at any time by ceasing use of the Service and contacting support. Upon termination, your data may be deleted after a reasonable retention window.

5. Intellectual property

The Service, including all software, design, documentation, and branding, is owned by BestDid Technology, LLC and protected by copyright, trademark, and other intellectual-property laws. You retain ownership of the brand, prompt, and competitor data you enter into the Service; you grant us a non-exclusive license to process that data for the purpose of providing the Service to you.

6. Third-party AI providers

The Service queries third-party AI search providers (including but not limited to OpenAI, Anthropic, Google, Perplexity, and SerpAPI) on your behalf. Their availability, accuracy, and output are outside our control. We make no warranty as to the correctness or completeness of any AI response surfaced through the Service.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BESTDID, LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY IN ANY 12-MONTH PERIOD IS CAPPED AT THE FEES YOU PAID FOR THE SERVICE DURING THAT PERIOD.

9. Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you and we consent to personal jurisdiction there. This clause does not deprive consumers of the protection of mandatory laws in their country of residence. Nothing in these Terms limits any right consumers may have under the consumer-protection laws of the European Economic Area, the United Kingdom, or any other jurisdiction whose law cannot be contracted around. California residents retain all rights under California consumer law including the California Auto-Renewal Law (Cal. Bus. and Prof. Code §17602).

10. Informal dispute resolution before litigation

Before filing a claim against the other, you and we agree to try in good faith to resolve any dispute informally. The aggrieved party shall send a written notice describing the dispute and the requested relief to the other (to support@geotally.ai for notice to us; to the email on your account for notice to you). The parties shall negotiate in good faith for 60 days before either party may initiate any formal proceeding.

Notices to BestDid must be sent to support@geotally.ai. Notices to you may be sent to the email on your account.

12. Modifications to these Terms

We may update these Terms from time to time. Material changes will be announced by email to the address on your account at least 30 days before they take effect, and the updated Terms will be posted at geotally.ai/legal/terms with a new effective date. Continued use of the Service after a change takes effect constitutes acceptance.

13. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

14. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, governmental action, internet or telecommunications outages, third-party service failures (including any AI provider, payment processor, or hosting provider), or pandemic.

15. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision shall be replaced with an enforceable provision that comes closest to its intent.

16. Entire agreement

These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy, Cookie Notice, and (where applicable) Data Processing Agreement, constitute the entire agreement between you and BestDid regarding the Service and supersede any prior agreements or representations.

17. Headings

Section headings are for convenience only and do not affect interpretation.

18. Copyright (DMCA)

If you believe content surfaced through the Service infringes your copyright, send a notice complying with 17 U.S.C. §512(c)(3) to our designated DMCA agent at dmca@geotally.ai. We will respond per the DMCA process.
