Terms of Service

Effective immediately for new customers. For existing customers, these changes take effect September 9, 2026 (30 days' notice, per the prior Terms).

These Terms of Service (“Terms”) are the agreement between you and BestDid Technology, LLC (“BestDid”, “we”, “us”) for your use of Geotally — the Geotally website, the web application at app.geotally.ai, and the Geotally iOS app (together, the “Service”).

By creating an account, subscribing, or using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it, and “you” means that company.

These Terms also serve as the end-user licence agreement for the Geotally iOS app. Section 21 contains additional terms that apply to App Store purchases.

1. Who may use the Service

You must be at least 18 years old and able to form a binding contract. Geotally is a business tool. It is not directed at children, and we do not knowingly provide it to anyone under 16.

You may not use the Service if you are located in a country subject to a US Government embargo or designated as a “terrorist supporting” country, or if you are on any US Government list of prohibited or restricted parties.

2. Your account

You are responsible for the accuracy of the information on your account, for keeping your password and any second factor secure, and for everything that happens under your account. Tell us at support@geotally.ai as soon as you suspect unauthorised access.

On the Agency plan you may invite team members. You are responsible for what they do with the Service and for the accuracy of the contact details you enter for them. You confirm you have the right to give us those details.

3. What the Service does — and what it does not

Geotally submits the prompts you author to third-party AI answer engines and analyses the responses for mentions of the brands and competitors you track.

Do not use Geotally as the sole basis for any decision with legal, financial, or safety consequences.

4. Your content

You keep ownership of everything you put into the Service — your brand names, prompts, competitor lists, connected-site details, and support messages (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, and display Your Content, and to transmit prompt text to the AI providers listed in our Privacy Policy, solely to provide and improve the Service for you. This licence ends when you delete the content or your account, except for copies in encrypted backups that roll off within 35 days.

You confirm you have the right to submit Your Content and that it does not infringe anyone's rights. Do not enter personal data about identifiable individuals into prompts or brand fields. The Service is not designed for it and our Acceptable Use Policy prohibits it.

Content Geotally generates for you — reports, drafted articles, action plans — is yours to use. AI-generated output may not be eligible for copyright protection in some countries, and similar output may be generated for other customers.

We own the Service itself: the software, models, design, documentation, and the Geotally and BestDid names and logos. Nothing here transfers those to you.

5. Acceptable use

Our Acceptable Use Policy is incorporated into these Terms. In summary, you agree not to:

Because we query OpenAI, Anthropic, Google, Perplexity, SerpApi, and xAI on your behalf, you also agree to comply with each of those providers' usage policies as applied to the prompts you send and the outputs you receive. If an upstream provider terminates or restricts our access because of your activity, we may recover the resulting cost from you.

6. Plans, pricing, and billing

Geotally is sold as a recurring monthlysubscription in three tiers — Starter, Growth, and Agency — each with its own brand, prompt, and run limits. Current plans and prices are published at geotally.ai/pricing. Prices are exclusive of tax; VAT, GST, or sales tax is added at checkout where required.

There are two ways to subscribe, and the terms differ.

6.1 Web subscriptions (billed by Stripe)

If you subscribe on the web, payment is processed by Stripe, Inc. We never receive or store your card number. Your subscription renews automatically each month at the price shown at checkout, charged to the payment method on file, until you cancel. If a charge fails we retry; if the retries fail, your subscription is suspended and the Service becomes read-only.

Cancel any time from Billing › Manage subscription in the app. Cancellation takes effect at the end of the current paid month. You keep access until then and are not charged again.

6.2 App Store subscriptions (billed by Apple)

If you subscribe inside the Geotally iOS app, the purchase is an auto-renewable subscription processed by Apple. The following terms apply, and they override Section 6.1 for that subscription:

6.3 Free trial

Starter and Growth include a 7-day free trial for first-time subscribers. Agency has no trial.

Your subscription converts to a paid subscription automatically at the end of the trial unless you cancel before it ends. For App Store purchases, cancel at least 24 hours before the trial ends in Settings › your Apple ID › Subscriptions. Any unused portion of a free trial is forfeited if you purchase a subscription during the trial period. Apple permits one introductory offer per subscription group per Apple ID.

6.4 One subscription per account

An account is billed by either Stripe or Apple, never both. If you already have a live subscription with one, the other will refuse the purchase.

6.5 Refunds

For App Store purchases, all refunds are handled by Apple. We cannot issue them. Request a refund at reportaproblem.apple.com or through your Apple ID purchase history. Apple's decision is final and governed by Apple's terms.

For web purchases,we handle refunds case by case — there is no fixed money-back window, and a person reads every request. Email support@geotally.ai from the address on your account. Cancelling stops future renewals but does not on its own entitle you to a refund of fees already paid. Full details are in our Refund Policy.

Nothing in this section limits any statutory right you have as a consumer. If you are a consumer in the EU or the UK you have a statutory right to withdraw from a purchase within 14 days, though that right may be reduced or lost for the portion of the service you have already used if you asked us to start immediately. California residents retain all rights under California law, including the Automatic Renewal Law (Cal. Bus. & Prof. Code § 17600 et seq.).

7. Service availability

We work hard to keep Geotally running, but we do not promise uninterrupted availability. The Service depends on third-party AI providers whose APIs change, rate-limit, degrade, and occasionally disappear. An engine becoming unavailable, changing its output, or restricting our access is not a breach of these Terms, though we will make reasonable efforts to restore or replace coverage. We may perform maintenance, and we will give notice of significant planned downtime where practical.

We may change, add, or remove features. If we remove a feature that is material to your plan, we will give you notice and, on request, a pro-rated refund of unused fees for the affected period.

8. Suspension and termination

You may cancel at any time as described in Section 6, and you may permanently delete your account and its data from Account › Danger zone in the web app. Deleting your account does not automatically cancel a paid subscription — cancel first, or contact support@geotally.ai so we can make sure billing stops.

We may suspend or terminate your account if you materially breach these Terms or the Acceptable Use Policy, if your activity threatens the security or stability of the Service, if it puts our access to an upstream provider at risk, if payment fails, or if we are required to by law. Except where the breach is serious or unlawful, or where notice is impractical, we will give you notice and a reasonable chance to fix it first.

On termination your licence ends immediately and your data is deleted in line with the retention periods in the Privacy Policy. Export your data before you terminate. Sections 3, 4 (ownership), 9, 10, 11, 12, 13, 14, and 15–20 survive.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY AI ENGINE RESPONSE WILL BE ACCURATE OR COMPLETE, OR THAT THE METRICS THE SERVICE PRODUCES WILL BE ACCURATE, REPEATABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

Some jurisdictions do not allow the exclusion of implied warranties. Where that is the case, the exclusions above apply only to the extent permitted, and nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IN ANY 12-MONTH PERIOD IS LIMITED TO THE FEES YOU ACTUALLY PAID US FOR THE SERVICE IN THAT PERIOD.

These limits apply to every theory of liability and are a fundamental part of the bargain between us. They do not apply to the extent prohibited by law, and they do not limit your statutory rights as a consumer.

11. Indemnity

You will defend and indemnify BestDid against any third-party claim, and any resulting damages, losses, and reasonable legal costs, arising from Your Content, from your use of the Service in breach of these Terms or the Acceptable Use Policy, or from your violation of any law or third-party right. We will tell you promptly about any such claim and let you control the defence, provided any settlement that admits fault or imposes obligations on us needs our written consent.

12. Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and you and we consent to personal jurisdiction there.

This clause does not deprive you of the protection of the mandatory laws of your country of residence. Nothing in these Terms limits any right you have under the consumer-protection laws of the EEA, the UK, or any other jurisdiction whose law cannot be contracted around, including your right to bring proceedings in your local courts where the law gives you that right.

13. Resolving disputes first

Before either of us starts a formal proceeding, we agree to try in good faith to resolve the dispute informally. The complaining party sends a written notice describing the dispute and the relief sought — to support@geotally.ai for notice to us, and to the email address on your account for notice to you — and we negotiate in good faith for 60 days. This does not stop either party from seeking urgent injunctive relief, or you from contacting a consumer-protection authority.

14. Changes to these Terms

We may update these Terms. We will announce material changes by email to the address on your account at least 30 days before they take effect, and post the updated Terms with a new effective date. If you do not accept a material change, cancel before it takes effect; continuing to use the Service after that is acceptance.

15. Notices

Legal notices to us must be sent to support@geotally.ai. Notices to you may be sent to the email address on your account or shown in the app.

16. Assignment

You may not assign these Terms or your account without our written consent. We may assign them to an affiliate, or in connection with a merger, acquisition, or sale of substantially all our assets.

17. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control — including acts of God, war, terrorism, civil unrest, labour disputes, government action, internet or telecommunications outages, pandemic, or the failure or withdrawal of any third-party AI provider, payment processor, or hosting provider.

18. Copyright (DMCA)

If you believe content surfaced through the Service infringes your copyright, send a notice meeting the requirements of 17 U.S.C. §512(c)(3) to support@geotally.ai marked for the attention of our designated copyright agent. We will respond under the DMCA process and may terminate the accounts of repeat infringers.

19. Severability, entire agreement, headings, waiver

If any provision is held unenforceable, the rest stays in force and that provision is replaced by an enforceable one that comes closest to its intent. These Terms, together with the Privacy Policy, Refund Policy, Acceptable Use Policy, Cookie Notice, and — where you have signed one — the Data Processing Agreement, are the entire agreement between us about the Service and replace any earlier agreements or representations. Headings are for convenience only. A failure to enforce a provision is not a waiver of it. There are no third-party beneficiaries except as stated in Section 21.

20. Relationship of the parties

We are independent contractors. Nothing here creates a partnership, joint venture, agency, or employment relationship.

21. Additional terms for the Geotally iOS app (App Store)

These terms apply if you obtained the Geotally app from the Apple App Store, and they take precedence over any conflicting term above with respect to that app.

a. This agreement is with us, not Apple. These Terms are between you and BestDid Technology, LLC only. Apple is not a party. BestDid, not Apple, is solely responsible for the Geotally app and its content.

b. Scope of licence. Your licence to use the app is non-transferable and limited to using it on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with you via Family Sharing or volume purchasing.

c. Maintenance and support. BestDid is solely responsible for providing maintenance and support for the app. Apple has no obligation whatsoever to furnish any maintenance or support.

d. Warranty. BestDid is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are BestDid's sole responsibility.

e. Product claims.BestDid, not Apple, is responsible for addressing any claim by you or a third party relating to the app or your possession and use of it, including product liability claims, any claim that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar legislation, including in connection with the app's use of the HealthKit and HomeKit frameworks (which Geotally does not use).

f. Intellectual property. If a third party claims the app or your use of it infringes their intellectual property rights, BestDid, not Apple, is solely responsible for the investigation, defence, settlement, and discharge of that claim.

g. Legal compliance.You represent that you are not located in a country subject to a US Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any US Government list of prohibited or restricted parties.

h. Contact. Questions, complaints, or claims about the app: BestDid Technology, LLC, support@geotally.ai.

i. Third-party terms. You must comply with any applicable third-party terms of agreement when using the app.

j. Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
